TERMS AND CONDITIONS OF USE

These terms and conditions (the "Agreement") govern your use of the Probe Anti-Money Laundering Compliance Portal provided by Probe Compliance Africa Limited under the laws of the Federal Republic of Nigeria with its registered address at Plot 58A Block 1, Omorinre Johnson Street, Lekki Phase 1, Lagos State, Nigeria (the "Service").

By using the Service, you agree to be bound by this Agreement. If you do not agree to the terms and conditions of this Agreement, you may discontinue your use of the Portal.

The following terminology applies to these Terms and Conditions, "Client", "You" and "Your" refers to you, the person accessing this website and accepting the Company's terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company. "Party", "Parties", or "Us", refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner or by any other means, for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services/products, in accordance with and subject to, prevailing law of Nigeria. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

1 . USE OF THE SERVICE

You may use the Service to verify the identity of individuals or entities and to perform Anti-Money Laundering checks (AML) for Individuals including Politically Exposed Persons and Entities, Pre-employment screening, Fraud Prevention and Criminal Backgrounds. You represent and warrant that you have obtained all necessary consents and authorizations required by law before using the Service.

2. LIMITATIONS ON USE

You may only use the Service for lawful purposes and in compliance with applicable laws and regulations. You agree not to use the Service to engage in any activity that would violate any laws, regulations, or third-party rights.

3. YOUR PRIVACY

We understand the importance of protecting your privacy when using the Service. When you use and access our Service, we may collect necessary data about you, such as "necessary cookies," which are essential for the proper functioning of the Service.

5.FEES AND PAYMENT
The Service is available on a subscription basis. You agree to pay all fees associated with your use of the Service in accordance with our package and payment plans. We reserve the right to change our package and payment plans at any time.

6. LICENSE

Unless otherwise stated, Probe Compliance Africa and/or it's licensors own the intellectual property rights for all materials on the Probe Anti-Money Laundering Software. All intellectual property rights are reserved.

You must not:

Republish material, Sell, rent or sub-license material, or Reproduce, duplicate, or copy material except as otherwise permitted by your license.

6. INTELLECTUAL PROPERTY

The Service and all materials included in the Service, including but not limited to software, documentation, and user interfaces, are owned by Probe Compliance Africa and/or its licensors and are protected by intellectual property laws. You will not use any of our intellectual property without our prior written consent.

7. CONFIDENTIALITY AND PRIVACY

We will keep confidential any information you provide to us in connection with your use of the Service. We will not disclose this information to any third party without your consent, except as required by law. 7 . DISCLAIMERS AND LIMITATIONS OF LIABILITY

THE SERVICE IS PROVIDED "AS IS" AND WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE. WE DISCLAIM ANY AND ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Probe Compliance Africa, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your breach of this Agreement, or your violation of any law or third-party right.

9. TERMINATION

We may terminate this Agreement and your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service will immediately cease.

10. TERMS OF USE CHANGES

At Probe Compliance Africa, we are committed to improving and expanding our Anti Money Laundering Solution Services to provide you with the best possible experience. As a result, we may make changes to these Terms of Service at any time and for any reason. We reserve the right to update or modify these Terms of Service without prior notice to you. Any changes will be effective immediately upon posting the updated Terms of Service on our website. By continuing to use the Service after any changes are made, you agree to be bound by the updated Terms of Service.

We encourage you to review these Terms of Service regularly to stay informed about any updates. Your continued use of the Service after the posting of the updated Terms of Service constitutes your agreement to be bound by the updated Terms of Service.

If you do not agree with the updated Terms of Service, you should stop using the Service immediately. If any provision of these Terms of Service is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.

11 . MISCELLANEOUS

This Agreement constitutes the entire agreement between you and Probe Compliance Africa Limited regarding the Service and supersedes all prior agreements and understandings relating to this agreement. If any provision of this Agreement is held to be invalid or unenforceable, that provision will be deemed to be removed and the remaining provisions will remain in full force and effect. No waiver by either party of any breach or default under this Agreement will be deemed to be a waiver of any preceding or subsequent breach or default.
